By accessing or using ProSev (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms apply to all users, including organisation administrators, field researchers, data collectors, and any other team members accessing the platform.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use the Service.

ProSev is a field trial management platform for agricultural research teams. The Service provides tools for:

• Designing field trials using recognised experimental frameworks (CRD, RCBD, Latin Square) with automatic plot randomisation.
• Mapping field sites and boundaries using GPS-based geospatial tools.
• Collecting and validating observation data with geolocation verification and offline support.
• Managing approval workflows with audit trails for submitted observations.
• Organising research teams with role-based access control.
• Analysing and exporting trial data for reporting and research publication.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

You agree to use the Service only for lawful agricultural research and field trial management purposes. You must not:

• Use the Service to upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or fraudulent.
• Attempt to gain unauthorised access to any part of the Service, other user accounts, or our infrastructure.
• Reverse-engineer, decompile, or disassemble any component of the platform.
• Use automated tools, bots, or scrapers to access the Service without our express written consent.
• Interfere with or disrupt the integrity or performance of the Service or its underlying systems.
• Use the Service to store or process data that is subject to export control laws without obtaining the required licences.
• Represent that your use of the Service is endorsed or affiliated with ProSev without our written permission.

We reserve the right to suspend or terminate accounts that violate these usage requirements without prior notice.

The ProSev platform, including its software, user interface, branding, logos, and documentation, is the exclusive intellectual property of ProSev and is protected by applicable copyright and trademark laws. These Terms do not grant you any right, title, or interest in the platform beyond the limited right to use the Service as described herein.

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by ProSev without restriction or compensation to you.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

The Service may integrate with or link to third-party services such as mapping providers and cloud infrastructure. These third-party services are governed by their own terms and privacy policies, and ProSev is not responsible for their content, availability, or practices.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Agricultural research decisions should not be made solely on the basis of data within the platform without independent verification.

To the fullest extent permitted by applicable law, ProSev and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of research data, loss of profits, or loss of goodwill — arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you or your organisation to ProSev in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless ProSev and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

Either party may terminate access to the Service at any time. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to access the Service ceases immediately.

Sections 5 (Data Ownership), 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification) survive termination of these Terms.

We may revise these Terms at any time. When we make material changes, we will update the “Last updated” date and notify you via email or an in-platform notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good faith negotiation, and if unresolved, through binding arbitration or the courts of competent jurisdiction in the territory where ProSev operates.
